These terms and conditions apply to all orders placed on our website (https://patlite-shop.com/). By placing an order, you agree to be bound by these terms.
1. Definitions

2. General
2.1. These terms and conditions apply to all orders placed on our website. No other terms will apply unless we agree to them in writing.
2.2. The descriptions and advertisements of products on our website are approximate and do not form part of a contract between you and us. We are not liable for any errors or omissions.
2.3. Our website is intended for business customers, not consumers. However, nothing in these terms affects the mandatory rights of consumers.
2.4. Please see clause 12 for limitations of our liability.
3. Prices
3.1. Prices are listed on our website and are subject to change without notice. Up-to-date information can be found on our website. In case of a conflict between prices on our website and printed catalogues, website prices prevail.
3.2. The price of an order is the price listed on our website at the time we accept your order. Prices for future delivery dates (forward orders) may be changed by written notice.
3.3. Prices exclude GST and other applicable local sales taxes, which will be added at the rate applicable at the date of order acceptance.
3.4. Prices for Extended Range products are listed on our website. Discounts or offers do not apply to these products. They will be invoiced separately from standard stocked products.
4. Ordering
4.1. We reserve the right to decline any order. We may also cancel accepted orders by giving you written notice. If we cancel an order for which payment has been received, we will refund the amount to you as soon as possible.
4.2. We will fulfil orders according to your requirements. We may substitute products if you request it or if the product has been superseded by a newer version. If we cannot fulfil your order completely, we will offer you a backorder or a refund.
4.3. You must use our stock numbers and priced units when placing an order. Specify your desired delivery option as well. Confirmations of previous orders must be clearly marked to avoid duplication.
4.4 Self-collection:
Customers are required to collect their purchased items within thirty (30) days from the date of notification.
Orders not collected within this period may be subject to cancellation or disposal at our discretion, and no refund will be provided.
5. Warranties and Remedies
5.1. PATLITE warrants that their products are not materially defective
5.2. In case of a defect, PATLITE will (at their option) replace, repair, or refund the product
5.3. This warranty excludes defects caused by improper use, failure to follow instructions, or unauthorized repairs/modifications
5.4. Your remedies for warranty breaches are limited to replacement or refund
5.5. To qualify for a warranty remedy:
· You must submit a written claim to PATLITE before returning any product, within 12 months of the dispatch date (or a longer period specified by PATLITE for certain products)
· You must return or dispose of the product according to PATLITE's instructions, suitably packaged, and with a returns number obtained from PATLITE
· PATLITE may refuse returns that don't comply with these requirements and return them to the customer at their expense
5.6. Replacement products become the property of PATLITE. Title to the replacement product follows the ownership clause (ownership transfers upon full payment). The warranty period for a replacement product is the unexpired portion of the original product's warranty
5.7. You have no remedy for untrue statements relied upon when ordering, unless fraudulent
5.8. All implied warranties are excluded to the fullest extent permitted by law.
5.9. The customer is responsible for ensuring products are fit for their intended use
6. Export Control and Limitations of Use
6.1. Certain PATLITE products are subject to export control regulations. You are responsible for complying with these regulations and obtaining any necessary licenses or permits for transfer, export, re-export, or import of the products.
6.2. Products cannot be sold, exported, or provided to sanctioned or embargoed countries or entities
6.3. Products are not authorized for use in life support, surgical implantation, nuclear or aircraft applications, or any use where a single component failure could cause substantial harm
6.4. Product classifications for export purposes are provided by PATLITE for internal use only and are not guaranteed to be accurate or up-to-date. You are responsible for ensuring compliance with all applicable export legislation
7. Liability
7.1. PATLITE is not liable for:
· Indirect or consequential losses
· Loss of revenue, profits, productivity, production, business, or future business
· Economic loss
· Damage to reputation or goodwill
7.2. PATLITE's maximum liability to you is the total order value, whichever is greater
7.3. This exclude PATLITE's liability for death or personal injury caused by their negligence or fraud
8. Force Majeure
A force majeure event refers to any circumstance beyond the reasonable control of our company (including, but not limited to, strikes, pandemics, epidemics, government actions, transportation disruptions, supply chain interruptions, or the inability to procure necessary materials except at significantly increased costs). In the event that such a force majeure event prevents or restricts our ability to fulfill our obligations, we shall be excused from those obligations for the duration of the event. We will not be held liable for any delays or failures in performance during this period. Should the force majeure event continue for more than fourteen days, we reserve the right to cancel the affected order without liability.
9. Intellectual Property Rights
9.1. The customer acknowledges that our company and its licensors own the intellectual property rights to our website, catalogues, content, and stock numbers. Any reproduction, in whole or in part, without prior written consent is strictly prohibited.
9.2. We make no warranties or guarantees that the products supplied will not infringe upon third-party intellectual property rights.
10. Anti-Bribery Policy
10.1.The customer agrees to comply with all relevant anti-bribery and anti-corruption laws and regulations. Specifically, the customer shall:
· Not offer any employee, agent, or subcontractor of our company any inducement or benefit in exchange for preferential treatment.
· Refrain from any actions that could result in our company breaching anti-bribery regulations.
· Immediately report any instances of undue financial or other advantages offered in connection with our terms and conditions.
10.2. Details of our anti-bribery policy, including restrictions on gifts and entertainment, are available upon request.
10.3. Any breach of this clause is considered a serious violation of our terms and cannot be remedied.
11. Data Protection
11.1. Please refer to our Privacy Policy for details on how we handle and process your personal information.
12. Miscellaneous
12.1. Waiver
Any failure or delay in exercising a right or remedy under these terms shall not constitute a waiver of that right, nor prevent its future enforcement. Similarly, waiving one breach does not mean waiving future breaches.
12.2. Variation
No changes to these terms shall be valid unless agreed in writing and signed by both parties.
12.3. Governing Law
Our contract with the customer, based on these terms and conditions, shall be governed by and interpreted according to Singaporean law. Both parties agree to submit to the exclusive jurisdiction of Singaporean courts.
12.4. Exclusion of Third-Party Rights
No third party shall have any rights to enforce any terms of this agreement under Singapore's Contracts (Rights of Third Parties) Act.
